Terms of Service

These Terms of Service govern the supply of products and services by High Contract Interiors Limited (“the Company”, “we”, “our”, or “us”) to the purchaser (“the Client”, “you”, or “your”).

By placing an order, paying a deposit, approving drawings or specifications, signing a quotation or proforma invoice, or issuing a purchase order, you agree to be bound by these Terms of Service.


1. Quotations and Orders

1.1 All quotations are valid for 30 days unless otherwise stated in writing.

1.2 Orders are only accepted once confirmed in writing by High Contract Interiors Limited.

1.3 The Company reserves the right to refuse or cancel any order prior to acceptance.

1.4 Any amendments requested after order confirmation may result in additional charges, revised lead times, and updated production schedules.


2. Bespoke and Made-to-Order Products

2.1 Many products supplied by High Contract Interiors Limited are bespoke, made-to-order, custom manufactured, or produced specifically to the Client’s requirements.

2.2 This includes, but is not limited to:

  • Made-to-measure furniture

  • Bespoke joinery

  • Upholstered seating

  • Banquette seating

  • Made-to-order lighting

  • Custom tables and casegoods

  • Special-order fabrics and finishes

  • Commercial furniture manufactured to specification

2.3 Once production, procurement, ordering, or manufacture has commenced, bespoke items cannot be cancelled, returned, or refunded except where proven to be faulty.

2.4 The Client is responsible for ensuring all specifications, finishes, colours, dimensions, and approvals are correct prior to manufacture.


3. Pricing and Payment

3.1 All prices are exclusive of VAT unless otherwise stated.

3.2 Deposits are non-refundable once design work, procurement, manufacture, or supplier ordering has commenced.

3.3 Full payment shall be made in accordance with the payment terms stated on the quotation or invoice.

3.4 High Contract Interiors Limited reserves the right to charge interest on overdue invoices at 4% above the Bank of England base rate.

3.5 Failure to make payment may result in:

  • Suspension of services;

  • Delayed deliveries;

  • Removal of installation teams;

  • Cancellation of ongoing works;

  • Recovery action.


4. Delivery and Installation

4.1 Delivery dates are estimates only and are subject to:

  • Supplier lead times;

  • Manufacturing schedules;

  • Material availability;

  • Shipping delays;

  • Site readiness;

  • Circumstances outside the Company’s control.

4.2 High Contract Interiors Limited shall not be liable for delays caused by manufacturers, couriers, contractors, third parties, force majeure events, or Client delays.

4.3 The Client is responsible for ensuring:

  • Safe and suitable site access;

  • Clear access routes;

  • Adequate parking/loading;

  • Suitable lifting access where required;

  • The site is ready for delivery and installation.

4.4 Any failed delivery, aborted installation, waiting time, return visits, or additional labour caused by the Client may incur additional charges.


5. Client Responsibilities

5.1 The Client is responsible for:

  • Providing accurate measurements and information;

  • Reviewing and approving drawings/specifications;

  • Obtaining landlord approvals where required;

  • Obtaining planning permission or statutory approvals where applicable;

  • Ensuring compliance with building regulations unless otherwise agreed in writing;

  • Coordinating third-party contractors unless agreed otherwise.

5.2 High Contract Interiors Limited accepts no responsibility for issues arising from inaccurate information supplied by the Client or third parties.


6. Product Variations

6.1 Natural materials and handmade products may vary in:

  • Colour;

  • Grain;

  • Texture;

  • Pattern;

  • Finish;

  • Sheen;

  • Appearance.

6.2 These are natural characteristics and shall not be considered defects.

6.3 Samples, renders, drawings, visuals, and photography are indicative only and may differ slightly from final manufactured products.


7. Faults and Defects

7.1 Any faults, shortages, or damages must be reported in writing within 48 hours of delivery.

7.2 Photographic evidence must be supplied where possible.

7.3 The Company reserves the right to inspect, repair, replace, or otherwise remedy any genuine defect before any refund or compensation is considered.

7.4 Fair wear and tear, misuse, accidental damage, incorrect installation by third parties, improper maintenance, or unauthorised modifications are excluded from liability.


8. Measurements and Site Conditions

8.1 Where measurements are supplied by the Client or third parties, High Contract Interiors Limited accepts no responsibility for incorrect sizing or fitment issues.

8.2 The Client is responsible for informing the Company of:

  • Hidden services;

  • Pipework;

  • Electrical cables;

  • Underfloor heating;

  • Structural limitations;

  • Access restrictions.


9. Cancellation

9.1 If the Client cancels an order after acceptance, High Contract Interiors Limited reserves the right to charge for:

  • Design time;

  • Administration;

  • Procurement costs;

  • Supplier charges;

  • Manufacturing costs;

  • Storage costs;

  • Labour;

  • Loss of profit;

  • Any completed works.

9.2 Bespoke or made-to-order products already in production remain payable in full.


10. Limitation of Liability

10.1 High Contract Interiors Limited shall not be liable for:

  • Indirect or consequential loss;

  • Loss of profit;

  • Loss of revenue;

  • Business interruption;

  • Delay-related losses;

  • Third-party contractor issues.

10.2 The Company’s total liability shall not exceed the value of the goods or services supplied under the relevant contract.


11. Intellectual Property

11.1 All drawings, concepts, specifications, visuals, renders, and design documents remain the intellectual property of High Contract Interiors Limited unless otherwise agreed in writing.

11.2 No drawings or designs may be copied, reproduced, issued to third parties, or used for alternative manufacture without written permission.


12. Force Majeure

High Contract Interiors Limited shall not be liable for delays or failures caused by events outside its reasonable control including:

  • Supplier delays;

  • Material shortages;

  • Industrial disputes;

  • Shipping disruption;

  • Fire;

  • Flood;

  • Government restrictions;

  • Pandemics;

  • Acts of God.


13. Governing Law

These Terms and Conditions shall be governed by and interpreted in accordance with the laws of England and Wales.

Any disputes arising shall be subject to the exclusive jurisdiction of the courts of England and Wales.
